ACE TRADE REFERRAL PROGRAM: TERMS AND CONDITIONS

Version 1.0 | Effective date: November 1st, 2026

Operator: [Legal entity full name, registered address, company number] ("Ace Trade", "we", "us", "our")

Website: https://acetrade.com/

1. Introduction and Acceptance

1.1. These Terms govern participation in the Ace Trade Referral Programme (the "Programme"). By activating your referral profile, sharing your referral link or code, or submitting a payout request, you accept these Terms.

1.2. These Terms supplement the Ace Trade Terms and Conditions and the Ace Hub Terms and Conditions (together, the "Main Terms"). If there is a conflict on a Programme matter, these Terms prevail. Capitalised terms not defined here have the meaning given in the Main Terms.

1.3. Participation in the Programme does not create an employment, agency, partnership or joint venture relationship between you and Ace Trade. You participate as an independent person.

2. Definitions

2.1. Referrer: an Ace Trade client who participates in the Programme.

2.2. Referred User: a new client who registers through a Referrer's referral link, QR code or code.

2.3. Referral Profile: the Referrer's Programme account, including their code, link, commission percentage and status.

2.4. Eligible Purchase: the first paid purchase of a Challenge plan made by a Referred User from a new Ace Trade account registered through your referral link, QR code or code. Deposits, withdrawals, plan extensions, retries, resets, additional or subsequent plan purchases, and all other transactions are not Eligible Purchases.

2.5. Commission Entry: the record of commission earned on an Eligible Purchase.

2.6. Commission Status: each Commission Entry has one of the following statuses:

  1. Available: earned and credited to your balance, not yet included in a Payout Request.
  2. Requested: included in a Payout Request that is awaiting operator review.
  3. Approved: the Payout Request has been approved by an operator. Payment is pending the Verification Documents, tax assessment and payment steps in Section 9.
  4. Rejected: the Payout Request was rejected by an operator under Section 9.2.
  5. Paid: the net payout has been sent to you.

2.7. Payout Request: a request to withdraw the Referrer's full Unpaid balance, processed manually by Ace Trade.

2.8. Commission: the gross commission amount shown in your Ace Hub account, before any taxes, withholdings, contributions or fees.

2.9. Verification Documents: the identity, address, tax and payment-ownership documents and information described in Section 9.

3. Eligibility and Enrolment

3.1. Automatic activation. A Referral Profile is created automatically once a client successfully purchase their first Challenge plan purchase. From that moment the client may act as a Referrer.

3.2. Manual activation. Ace Trade may also activate the Programme manually for any registered client, at its sole discretion.

3.3. One profile per person. Each client may hold only one Referral Profile and one referral code.

3.4. Code changes. A referral code may be changed by Ace Trade only if no users have yet registered through it.

3.5. Eligibility conditions. You must be at least 18 years old, hold a verified Ace Trade account in good standing, and not be resident in or a national of a Forbidden Territory as defined in the Main Terms.

4. Referral Link, Code and QR Code

4.1. Your Referral Profile provides a personal referral link, code and QR code, which you may share subject to Section 11.

4.2. Referral invitations are unlimited and do not expire while your Referral Profile is active.

5. Attribution

5.1. A Referred User is attributed to you only if they register through your referral link, QR code or code at the time of registration. Codes cannot be applied after registration.

5.2. Attribution is permanent and exclusive. A Referred User is linked to one Referrer only and cannot be reassigned, except by Ace Trade to correct an error or in cases of abuse.

5.3. If a code is invalid or not used at registration, registration proceeds normally without attribution, and attribution cannot be added retroactively.

5.4. Self-referral is not permitted. Attempts to refer yourself, including through duplicate or linked accounts, are rejected automatically and flagged for review.

6. Commission

6.1. Rate. The standard commission rate is 10% of the amount actually paid by the Referred User for the Eligible Purchase.

6.2. Net paid basis. Commission is calculated on the real amount paid after all discounts, coupons, points redemptions and promotional reductions. Plans issued free of charge or fully discounted generate no commission.

6.3. Rate at time of purchase. The commission rate in force at the time of an Eligible Purchase applies to that purchase. Later changes do not affect existing Commission Entries.

6.4. Rounding. Commission is rounded up to the nearest whole cent (for example, $9.999 becomes $10.00).

6.5. Availability. Commission is credited to your Unpaid balance immediately on completion of payment, with no holding period. It remains subject to reversal under Section 7 and to the verification and tax process in Section 9.

6.6. One commission per Referred User. Commission is paid only once per Referred User, on their first paid Challenge purchase, and only where the Referred User registered a new account through your referral link, code or QR code (Section 5). No commission is paid on any later purchase by the same Referred User, including additional Challenges, retries, resets or upgrades. If the commission on the first purchase is Reversed because of a refund or chargeback, the next paid Challenge purchase by that Referred User becomes the Eligible Purchase.

6.7. Currency. Commission is calculated in US Dollars. If the Referred User paid in another currency, the USD amount is determined using the exchange rate applied by the payment processor at the time of purchase.

7. Refunds, Chargebacks and Recovery

7.1. Unpaid commission. If a Referred User's purchase is refunded or charged back, the related Commission Entry is marked Reversed and removed from your balance.

7.2. Requested commission. If a Commission Entry included in a pending Payout Request is Reversed, the request is flagged for operator review, and Ace Trade will adjust it accordingly.

7.3. Paid commission. If commission has already been paid and the underlying purchase is later refunded or charged back, Ace Trade may recover the amount, typically by deducting it from your future commission. If you have no future commission, Ace Trade may require repayment within 14 days of written notice.

7.4. Refunds are governed by the Main Terms. Ace Trade has no obligation to refuse or delay a refund because commission has been earned or paid.

8. Payout Requests: All-or-Nothing Rule

8.1. All-or-nothing. A Payout Request always includes your entire Unpaid balance at the moment you submit it. You cannot select individual commissions, request a partial amount, or exclude any entries. You request your full Unpaid balance, or you do not request at all.

Example: you have referred 10 users and 5 of them made an Eligible Purchase, each earning $10 commission. Your Unpaid balance is $50. A Payout Request covers the full $50 and all 5 Commission Entries. You cannot request only $30.

8.2. Minimum threshold. You may submit a Payout Request only when your Unpaid balance is at least US$10.00.

8.3. One open request. Only one Payout Request may be open at a time. A request stays open until it is Paid, Rejected or closed under Section 9. You may submit a new request after that.

8.4. Snapshot. The total is fixed at the moment you submit the request, and all included Commission Entries change to Requested. Commission earned after submission stays Unpaid and may be included in your next request.

8.5. Submitting a Payout Request is an application for payout. It is not a guarantee of payment, which is subject to Section 9.

9. Payout Review, Verification Documents and Taxes

9.1. Process overview. Every Payout Request goes through these stages:

  • (a) you submit the request;
  • (b) an Ace Trade operator reviews it and approves or rejects it;
  • (c) following approval, the operator contacts you to collect Verification Documents;
  • (d) Ace Trade's accounting team assesses and applies the applicable taxes and charges;
  • (e) payment is made and the request is marked Paid.

9.2. Operator review. An Ace Trade operator verifies each request for compliance with these Terms, including attribution, eligibility of purchases, the promotion rules and the anti-fraud provisions. The operator will either approve or reject the request. Every rejection states its reasons. Where the reasons can be corrected, you may resubmit after correcting them. Unless the Commission Entries are withheld or reversed under Section 12, they return to Unpaid on rejection.

9.3. Verification Documents. After approval, an Ace Trade operator will contact you to request additional information and documents. These may include, but are not limited to:

  • valid government-issued proof of identity;
  • proof of address;
  • proof of the country in which you are tax resident, and your tax identification number;
  • proof that the bank account or crypto wallet receiving the payment is in your own name;
  • for Referrers acting through a business, company registration details and, where applicable, VAT registration details and a valid invoice.

Ace Trade may request further documents where needed for compliance, and you must provide them accurately and promptly.

9.4. Why this matters. Ace Trade is established in Bulgaria, a member state of the European Union. Its tax, accounting, reporting and anti-money-laundering obligations depend on who receives the money, in which country that person is tax resident, and to which country and account the money is sent. For this reason, Ace Trade cannot make any payout until the Verification Documents have been received and assessed.

9.5. Taxes and deductions. Based on the Verification Documents, Ace Trade's accounting team will determine and apply any taxes, withholdings, social or health contributions and reporting obligations required under Bulgarian law, European Union law, the law of your country of tax residence where relevant, and any applicable double taxation treaty. The amount paid to you (the net payout) may therefore be lower than your Gross Commission. Where applicable, Ace Trade will give you a statement showing the Gross Commission, the amounts deducted and the net payout.

9.6. Your own tax responsibility. You remain solely responsible for declaring and paying any taxes, contributions or duties that arise on commission you receive and that are not withheld or settled by Ace Trade. Ace Trade does not provide tax or legal advice.

9.7. Destination of payment. Payments are made only to a bank account or crypto wallet held in your own name, and only to a destination that Ace Trade can lawfully pay under applicable law, sanctions rules and its internal compliance policy. The country of your tax residence and the country of the receiving account may affect the tax treatment of your payout. Ace Trade may refuse or delay payment to destinations that do not match your Verification Documents or that it cannot lawfully serve.

9.8. Incomplete or inaccurate information. If you do not provide the Verification Documents within 30 days of our request, or the documents are incomplete, inconsistent or unsatisfactory, Ace Trade may place the request on hold or close it. On closure, the Commission Entries return to Unpaid and you may submit a new request. If information you provided is later found to be inaccurate or false, Ace Trade may correct the amounts withheld, recover any resulting shortfall from you or from future commission, and take action under Section 12.

9.9. Compliance checks. Referral payouts are subject to identity verification and anti-money-laundering and sanctions checks. Ace Trade may delay, withhold or refuse a payout where these checks are incomplete or raise concerns. Referral payouts are not subject to the withdrawal restrictions that apply to trading accounts.

10. Payment

10.1. Once the request is approved, the Verification Documents are accepted and the tax assessment is complete, Ace Trade pays the net payout manually by bank transfer or cryptocurrency, as offered by Ace Trade, within 14 days or in Ace Trade's monthly payout cycle.

10.2. Ace Trade marks the request Paid once funds are sent, and all included Commission Entries change to Paid.

10.3. You are responsible for providing correct payment details. Cryptocurrency transfers are irreversible, and Ace Trade is not liable for funds sent to an address or network you supplied in error.

10.4. Bank, network and conversion fees are borne by the User.

11. Promotion Rules

11.1. You must promote Ace Trade honestly and lawfully. You must not:

  • guarantee or imply guaranteed profits, income or funding, or misrepresent how Challenges, funded phases or payouts work;
  • describe simulated trading or funding as live brokerage services or real capital;
  • impersonate Ace Trade or its staff, or claim to be an employee, agent or official representative;
  • use spam, unsolicited bulk messages, misleading advertising, or paid advertising that suggests you are Ace Trade;
  • target minors or residents of Forbidden Territories;
  • offer your own rebates, cashback or commission sharing to Referred Users without Ace Trade's written approval;
  • infringe third-party rights or use Ace Trade branding other than as permitted in writing.

11.2. You must clearly disclose your affiliate relationship and any compensation, in line with the advertising and influencer disclosure rules of the countries where you promote.

11.3. You are responsible for your own content and for compliance with the laws and platform rules that apply to you.

12. Fraud and Abuse

12.1. Ace Trade monitors the Programme for abuse. Shared IP addresses, KYC or device data, unusual conversion patterns, volume anomalies, and CAPTCHA or rate-limit violations may trigger manual review.

12.2. If we reasonably suspect fraud, self-referral, fake registrations, purchase manipulation or a breach of Section 11, we may withhold or reverse affected Commission Entries, reject Payout Requests, suspend or deactivate your Referral Profile, and recover amounts already paid.

12.3. Ace Trade makes such determinations in good faith following review, and will give you an opportunity to respond where reasonably practicable.

13. Privacy and Data

13.1. Referrers see Referred Users only through masked identifiers (for example, a***@example.com) and usernames, together with registration and purchase status. Referred Users do not receive the Referrer's identity.

13.2. Ace Trade processes personal data for the Programme in accordance with its Privacy Policy and applicable data protection law. This includes attribution, commission calculation, payouts, fraud prevention and compliance.

13.3. Verification Documents, including identity, address and tax residence documents, are processed only for identity verification, tax, accounting, anti-money-laundering and legal compliance, and retained as long as the law requires.

13.4. You must not attempt to identify Referred Users, extract their personal data from Ace Trade systems, or use Programme data for any other purpose.

13.5. Programme records are retained permanently for audit purposes, including status changes with timestamps and operator identifiers, subject to applicable law.

14. Notifications

14.1. We notify Referrers of new Referred User registrations, commissions earned, and Payout Request status changes (Approved, Rejected, Paid), and of any request for Verification Documents.

15. Suspension, Deactivation and Termination

15.1. You may stop participating at any time by ceasing promotion. Ace Trade may deactivate your Referral Profile at any time with notice.

15.2. Deactivation stops new registrations and new commissions. Existing earned commission remains eligible for payout under these Terms, subject to Sections 7, 9 and 12.

15.3. Closure of your Ace Trade account under the Main Terms ends your participation. Remaining Unpaid commission is handled under Sections 8 and 9.

16. Changes

16.1. Ace Trade may amend these Terms or change the Programme (including rates and thresholds) by publishing the update in Ace Portal or on https://portal.acetrade.com/ and notifying Referrers.

16.2. Changes apply to purchases made after the effective date, and do not affect Commission Entries already created. Continued participation after the effective date means you accept the changes.

17. Disclaimers and Liability

17.1. The Programme is offered as-is. Ace Trade does not guarantee any level of referrals, purchases or earnings.

17.2. To the fullest extent permitted by law, Ace Trade is not liable for indirect or consequential loss, lost profits or lost opportunities arising from the Programme. Our total liability to you under the Programme is limited to the commission properly due and unpaid to you.

17.3. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

18. Governing Law and Disputes

18.1. These Terms are governed by the laws of Bulgaria, consistent with the Main Terms.

18.2. Disputes should first be raised with Ace Trade support at [email protected], quoting your referral code and relevant details. If unresolved, they are subject to the competent courts of Sofia, Bulgaria in the dispute resolution mechanism in the Main Terms].
